That the AREAS AUTOCARAVANAS is a commercial company, whose purpose is to put in contact both HOSTS that have different spaces and gardens or that offer experiences, with Travelers who are looking for where to stay with their motorhomes, caravans, campers or tents to camp or carry out activities. These communications will be made through a platform on the website https://areasautocaravanas.com/ and its scope of action covers the entire national and international territory.
2. That the Affiliate can reside anywhere in the world, and knows the market by dedicating himself professionally to it.

III. That the Affiliate wishes to collaborate with AREASAUTOCARAVANAS in the capture of (areas, spaces, gardens, experiences, etc ...), and reservations so that they can participate in the Platform and be able to provide coverage to Travelers who enter MOTORHOMES AREAS.

1. That AREAS AUTOCARAVANAS owns and manages the platform on which the Hosts and Travelers (both Users of the Platform) will contact.
2. That the parties wish to formalize a commercial agreement in accordance with the following

FIRST-. OBJECT OF THE CONTRACT

The AFFILIATE undertakes to create profiles and make reservations on the website and to include spaces, gardens or experiences on the AREAS AUTOCARAVANAS Platform, respecting the guidelines and stipulations contained in this contract, as well as in the General Conditions of Use of the areasautocaravanas.com website.

The AREAS MOTORCARAVANAS Platform is a mere intermediary and from the moment the AFFILIATE accepts the conditions, they have the power to act in their own name and under their responsibility, as long as the conditions and clauses established in this contract and in the General Conditions of Use of the site are met.

The AFFILIATE may create and publish Advertisements in any way they see fit using their own media (RRSS, blogs, websites, etc.), as long as they are related to the sector and it is a legal activity.

The AFFILIATE will receive a commission (deducting taxes and fees) for the reservations made and charged, which come from the affiliation codes that are provided from the Autocaravan Areas to the affiliate and are used (RRSS, blogs, websites, etc.) by the AFFILIATE himself and from Hosts who are part of the platform, which come from the affiliation codes that are provided from the Autocaravan Areas for the promotion and management of the AFFILIATE himself.

SECOND-. POSITION OF THE AFFILIATE.

This contract is granted based on the different spaces or experiences that, through the AFFILIATE's tools, want to be part of the platform so that the rights and obligations derived from it may not be transferred either directly or indirectly, without prior written authorization from AREAS MOTORCARAVANAS.

The AFFILIATE may not delegate to third parties unrelated to this contractual relationship, unless authorized in writing by AREAS MOTORCARAVANAS.

THIRD-. MEMBER OBLIGATIONS

3.1. Use your own social media, blogs, websites, etc., so that new Hosts have to:

• Provide accurate and complete information about your space and the service offered to the Traveller, correctly describing the location, availability of dates, the state of the space, or what is the experience, etc
• Disclose any deficiency, restriction or requirements that may be relevant.
• Use images or videos in your property and quality ad, and be true to life.
• Keep up-to-date at all times the information of your Ad.
• Respond to Travelers.

The placement of the Ads in the results of searches of the Traveler within the Platform will be carried out in function of various factors such as price, availability dates, and the terms and conditions offered by the Host among others.

3.2. The Affiliate is obliged to transmit to AREAS AUTOCARAVANAS any complaint related to the Platform that is the subject of its use or communications made by Travelers who use their space or experience and to cooperate in the resolution of the same, or that the Host himself has detected.

QUARTER-. CONTRACT PERIOD.

This contract will have a duration equal to the permanence of the different hosts within the platform.

FIFTH- COMMISSION AND OPERATION OF COLLECTION.

The AFFILIATE will receive a commission (deducting taxes and fees) for the reservations made and charged, which come from the affiliation codes that are provided from the Autocaravan Areas to the affiliate and are used (RRSS, blogs, websites, etc.) by the AFFILIATE himself and from Hosts who are part of the platform, which come from the affiliation codes that are provided from the Autocaravan Areas for the promotion and management of the AFFILIATE himself.

In this way, Affiliate codes will be provided both for the registration of Hosts and for the accounting of reservations from the AFFILIATE Media.

The AFFILIATE will receive commission (deducting taxes or fees) under the following conditions:

• New Hosts of Spaces within the Spanish territory: 5% of the total reservation.
• New Hosts of Spaces outside the Spanish territory: 10% of the total reservation.
• New Hosts of Experiences within the Spanish territory: 2.5% of the total reservation.
• New Hosts of Experiences outside the Spanish territory: 5% of the total reservation.
• New Garden Hosts for camping within the Spanish territory: 5% of the total of the
• New Garden Hosts for camping outside the Spanish Territory: 10% of the total reservation.

In the event that there are cancellations of reservations that conform to those set forth in the General Conditions of the platform, or that Áreas Autocaravanas deems such cancellation for any reason, the Affiliate will not charge a commission for said cancellations.

These commissions will be paid monthly in arrears by adding the total bookings made and collected for the entire month that correspond to the Affiliate between the 1st and 5th of the following month, by means of a bank transfer, for this Áreas Autocaravanas will generate a self-invoice with the data of the member and as proof of said payment will be the bank movement.

SIXTH-. CONDITIONS FOR HOSTS.

6.1. The AFFILIATE must inform each of the captured hosts of these conditions. These conditions are confidential and cannot be published.

6.2. The HOST will be responsible for serving Travelers regarding the prices that they stipulate in their MOTORHOME AREAS profile. Every time a reservation is confirmed and paid for by the Traveler, the HOST will receive an email confirming it.

6.3. Access and registration on the Platform, as well as the search, viewing and publication of Advertisements, do not involve any cost. However, when a Traveler makes a reservation, the corresponding payment of a fee will be made, under the conditions described below.

At the end of the current month, AREAS MOTORCARAVANAS will send to the HOST within the first five days an analytical report of its reservations made in that past month, and the amount collected will be paid by bank transfer except for the AREAS MOTORCARAVANAS commission, which will be:

• In the event that the HOST receives reservations for the area, space or gardens for camping through the platform, AREAS MOTORCARAVANAS will receive a commission for the reservation of 25% and an invoice will be issued showing the taxes levied on this type of intermediation. The Host will receive 75% of the proceeds, from which it will be necessary to deduct the financial expenses that will be 0.50% of the value of the reservation, with a minimum of €0.50.
• In the event that the HOST receives reservations for an experience through the platform, AREAS AUTOCARAVANAS will receive a commission for the reservation of 15%, and an invoice will be issued, passing on the taxes levied on this type of intermediation. The Host will receive 85% of the proceeds, to which it will be necessary to deduct the financial expenses, which will be 0.50% of the reservation value, with a minimum of € 0.50.

SEVENTH.- LIABILITY

In addition to using the platform for the captured hosts to publish their ads and / or experiences, you have to ensure that the following premises are met:

1. Do not send false information, misleading, malicious, or fraudulent.
2. Not publish any content on the Affiliate's own media or the hosts of the Platform that may be defamatory, libelous, obscene, pornographic, vulgar, offensive, aggressive, inappropriate, violent, threatening, harassing, of a racist or xenophobic nature, that has sexual connotations, incites violence, discrimination or hatred, or that encourages activities or the use of illegal substances or more generally that is contrary to the objectives of the Platform, or that may be contrary to good manners;
3. Publish Ads that correspond only with the spaces and experiences of which it is responsible;
4. Not publish any Advertisement relating to a space that is not yours or for which you do not have permission
5. To make sure that Travelers can reach you at the phone number registered on the profile of the Platform.

EIGHTH. – REGULATIONS AND PERMITS

It is important that the AFFILIATE ensures that the different Hosts can accommodate in their property or garden. Sometimes there are restrictions in contracts, laws, and neighborhood association rules that don't allow this.

AREASAUTOCARAVAS recommends that the AFFILIATE keep in mind these types of obligations that may arise, such as the regulations, restrictions and obligations that apply in their sector.

NINTH-. CONFIDENTIALITY AND DATA PROTECTION

The AFFILIATE assumes the interest of AREAS MOTORCARAVANAS and all members, present and future, in maintaining the confidentiality and secrecy of the procedures transmitted during the validity of this agreement.

By registering on the platform, both the AFFILIATE and the HOSTS undertake to provide true information regarding their profile and to comply with the provisions of the EU General Data Protection Regulation 679/2016 and with LO 3/2018 on Data Protection and Digital Rights Guarantees.

The data collected and subsequently processed by the Platform are those that the HOST voluntarily transmits when filling out the different forms present on the website.

Regarding the data of the Travelers processed by the Host provided through the Platform once the stay or experience has been accepted, AREAS AUTOCARAVAS informs that it has communicated in the General Conditions of Use of the website and in the Privacy Policy to Travelers that From the moment they get in touch, the Host will be responsible for the proper processing of the Travelers' data in accordance with current Data Protection regulations.

Please note that this confidentiality policy may be modified or supplemented at any time, mainly with the aim of adjusting to any legislative, regulatory, jurisprudential or technological changes. In such case, the update date will be clearly mentioned.

TENTH-. EARLY TERMINATION OF THE CONTRACT.

10.1.- Each party will have the right to terminate this contract early, in the event of repeated non-compliance by the other party with the obligations and conditions assumed in this document. To this end, the party that considers itself affected by the breach must immediately notify the breaching party, stating the circumstances of the alleged breach. The violating party, when possible, must correct or remedy said violation within 20 days of sending the notification.

In the event that the infringing party does not correct the infringement within the stated period, or incurs new breaches, the affected party may terminate the contract by sending a new irrefutable notification, addressed to the infringer, stating the failure to remedy the breaches, leaving the contract terminated, without prejudice to the compensation for damages that may be required from the offending party.

9.2. Once this agreement is terminated, whatever the cause, the AFFILIATE will no longer receive any type of commission from AREAS MOTORCARAVANAS and their Affiliate status will be terminated from the Platform.

9.3. All HOSTS integrated into the platform, and each of its pages are property of AREAS MOTORCARAVANAS, so the AFFILIATE will not be able to exercise any rights over them.

TENTH-. APPLICABLE LAW.

This contract has a commercial nature, being governed by the provisions of its own clauses and what is not provided for in them by the provisions of the Commercial Code, special laws and commercial uses, and, failing that, by the provisions of the Civil Code.

Both contracting parties expressly renounce their jurisdiction and submit to the Courts and Tribunals of Seville.
